- THE PARTIES AND THESE TERMS
These Terms govern the use of MainField, a work-logging service for industrial maintenance teams, provided by DQLINLI INC., located in Ontario, Canada (“we”, “us”).
“Customer” means the business that has signed up for or been given access to MainField. “Users” are the Customer’s employees and contractors who use it. “Customer Data” means the records, photos, videos, notes and other content entered into MainField for the Customer.
These Terms apply to the Customer. The person accepting them on the Customer’s behalf confirms they have authority to do so. If the Customer and we have signed a separate written agreement, that agreement prevails where it conflicts with these Terms.
- THE SERVICE
MainField lets Users create work records (for example: issues, assigned tasks, inspections, breaks, training and parts requests), attach photos and video, complete records with outcomes, and view daily and history summaries. Features, pages and limits may change over time.
MainField is a record-keeping tool. It is not a safety system, and it does not replace any record, procedure or sign-off the Customer must keep under workplace health and safety law, lockout and tagout procedures, equipment manufacturer requirements, or the Customer’s own policies. The Customer remains responsible for those.
- ACCOUNTS AND ACCESS
We provide access through accounts and page passwords assigned by role (for example Technician and Manager). The Customer is responsible for:
- Giving access only to authorized Users and removing access when someone leaves
- Keeping credentials and page passwords confidential
- All activity under its accounts and passwords
Tell us promptly at support@dqlinli.com if you suspect unauthorized access.
- CUSTOMER RESPONSIBILITIES
The Customer will:
- Use MainField lawfully and only for its own business operations
- Tell its Users what is recorded and why, and give any notice or obtain any consent that the law or the Customer’s own policies require, including any written policy on electronic monitoring of employees
- Instruct Users not to capture people, personal information or private spaces in photos and videos where it can be avoided
- Make sure it has the right to upload the content it submits
- Check records it relies on for safety or regulatory purposes
- ACCEPTABLE USE
The Customer and its Users must not:
- Upload unlawful, harmful, harassing or infringing content
- Upload malicious code, or probe, scan or test the service’s security without our written permission
- Attempt to access another customer’s data or any area they are not authorized to use
- Overload the service, use automated tools to submit forms, or bypass security checks such as Turnstile
- Copy, resell or build a competing service from MainField, except as the law allows
We may suspend access that breaches this section or threatens the service or other customers, and will tell the Customer where we can.
- CUSTOMER DATA
The Customer owns its Customer Data. The Customer gives us a limited licence to host, copy, process and display it only to provide, secure, support and improve the operation of the service for the Customer, and as the Customer instructs.
We do not sell Customer Data and do not use it to train artificial intelligence models.
How we handle personal information is described in the MainField Privacy Policy. If the Customer needs a data processing addendum, we will provide one on request.
We may keep aggregated, non-identifying statistics about how the service is used.
- OUR RIGHTS
We and our licensors own the service, including its design, software, text and branding. These Terms give the Customer a limited, non-exclusive, non-transferable right to use the service during the term. We may use the Customer’s name as a customer reference only with the Customer’s written permission.
If the Customer gives us feedback or suggestions, we may use them without restriction or payment.
- FEES AND TRIALS
The demonstration access is currently free.
Where fees apply: they are payable as set out in the order, quote or invoice, and are exclusive of applicable taxes. Payment terms: 15 days.
Demonstration or trial access is provided as is, may be changed or withdrawn at any time, and must only be used with fictional or non-sensitive data.
- AVAILABILITY AND SUPPORT
We aim to keep MainField available, but we do not promise uninterrupted or error-free service. We may carry out maintenance, and the service relies on third-party providers such as hosting, storage, database and security services that we do not control.

Customers should keep their own copy of anything critical.
- CONFIDENTIALITY
Each party will keep the other’s non-public business information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is public through no fault of the recipient, was already known or independently developed, or must be disclosed by law (in which case the recipient will give notice where permitted).
- DISCLAIMER OF WARRANTIES
To the fullest extent the law allows, the service is provided “as is” and “as available”. We disclaim all warranties, whether express or implied, including fitness for a particular purpose, non-infringement and accuracy of records. We do not warrant that the service will meet the Customer’s regulatory or safety requirements.
- LIMITATION OF LIABILITY
To the fullest extent the law allows:
- Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost production, equipment downtime or loss of data, even if advised they might occur.
- Our total liability for all claims relating to the service in any 12-month period is limited to the amount the Customer paid us for the service in that period. Fixed amount CAD 100 if the service is free.
These limits do not apply to liability that cannot be limited by law, or to a party’s fraud or willful misconduct.
- INDEMNITY
The Customer will defend and indemnify us against third-party claims arising from content the Customer or its Users upload without the right to do so, or from the Customer’s breach of Section 4 or 5, subject to the limits in Section 12 where the law allows. We will promptly notify the Customer of such a claim and cooperate reasonably.
- TERM AND TERMINATION
These Terms begin when the Customer first uses the service and continue until ended. Either party may end them with [TBC: 30] days’ written notice. We may suspend or end access immediately for material breach, non-payment, or if needed to protect the service or others.
After termination:
- The Customer may ask for an export of its Customer Data within 30 days
- We will then delete or return Customer Data as described in the Privacy Policy, except where the law requires us to keep it
- Sections that by their nature should survive (including 6, 7, 10 to 13 and 16) will continue
- THIRD-PARTY SERVICES
MainField relies on third-party services listed in the Privacy Policy. Their own terms may also apply. We are not responsible for their acts or failures, but we will choose them with reasonable care.
- GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The parties will first try to resolve a dispute by good-faith discussion. If that fails, the courts of Ontario, sitting in Toronto, have exclusive jurisdiction.
- CHANGES TO THESE TERMS
We may update these Terms. For material changes we will give Customers at least 30 days’ notice by email or in the service. Continued use after the effective date means the Customer accepts the updated Terms.
- GENERAL
- Entire agreement: these Terms, the Privacy Policy and any signed agreement are the whole agreement on this subject.
- If part of these Terms is unenforceable, the rest stays in effect.
- Not waiving a right is not giving it up.
- The Customer may not assign these Terms without our written consent. We may assign them in connection with a sale of the business.
- Neither party is liable for delay caused by events outside its reasonable control.
